Welcome to RecruitingLM. These Terms of Service ("Terms") govern your access to and use of the RecruitingLM website, platform, and services (collectively, the "Services"), operated by Recruiting LM, Inc. ("we," "us," or "our").

By creating an account or using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Access to the Services

Subject to these Terms and any applicable Enterprise Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes. You agree to use the Services in compliance with all applicable laws and regulations.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

We own all rights, title, and interest in and to the Services, including all related intellectual property rights. Your use of the Services does not grant you any ownership rights.

You retain ownership of the data you upload to the Services ("Customer Data"). You grant us a license to use, host, store, and process Customer Data as necessary to provide the Services and to improve our AI models, subject to our Privacy Policy.

4. AI and Automated Decision Making

Our Services utilize Artificial Intelligence (AI) to provide candidate matching, assessments, and other insights. You acknowledge that AI systems are probabilistic and may produce errors. You agree that you are solely responsible for all hiring decisions made using the Services and that RecruitingLM provides recommendations only, not definitive hiring directives.

You agree to use the AI features in compliance with all applicable laws regarding automated decision-making and employment discrimination.

5. Confidentiality

Each party agrees to protect the confidentiality of the other party's Confidential Information with the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease.

9. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Services after the changes become effective constitutes your acceptance of the new Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Delaware.
